1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of the ChatUltra AI: Ask GPT Bot application ("App," "Service," or "ChatUltra") developed by Agile Apps LLC ("Company," "we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.

If you are using the App on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.

2. Definitions

For the purposes of these Terms:

  • "App" or "Service" means the ChatUltra AI: Ask GPT Bot (ChatUltra) mobile application and related services.
  • "User Content" means any content you provide to the App (input content) and any content generated by the AI in response (output content).
  • "Input Content" means any text, data, or information you submit to the App to generate AI responses.
  • "Output Content" means any content generated by the AI in response to your input.
  • "Third-Party Materials" means third-party AI services and APIs integrated into the App, including but not limited to OpenAI API, Anthropic API, and Google Gemini API.
  • "Premium Access" means paid subscription features and services offered through the App.
  • "Account" means your user account created to access the App's features.

3. License and Use

3.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal or business use in accordance with these Terms.

3.2 Restrictions

You may not:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, or attempt to extract the source code
  • Translate the App into other languages
  • Use the App for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the App's functionality

3.3 Intellectual Property

The App and all related trademarks, copyrights, database rights, and other intellectual property rights belong to Agile Apps LLC. You retain ownership of your User Content, subject to these Terms.

4. User Content

4.1 Ownership and Rights

You retain ownership of your User Content. You are responsible for ensuring you have all necessary rights, licenses, and permissions to submit your Input Content. You may use Output Content for your benefit, provided you comply with applicable laws and these Terms.

4.2 Third-Party Licenses

By using the App, you consent to the potential use of your User Content by third-party AI providers under their respective policies. You acknowledge that Output Content may not be unique and other users may receive similar responses.

4.3 Content Accuracy

AI-generated content may contain inaccuracies, incomplete information, or outdated facts. You should independently verify any factual information before relying on it.

4.4 AI Model Development Restrictions

You may not use Output Content to develop AI models that compete with OpenAI or Anthropic products and services. However, you may use OpenAI API-generated content for:

  • Data categorization, classification, or organization models (non-distributed)
  • Fine-tuning models through OpenAI services

5. Third-Party Materials

6. Prohibited Content and Behavior

6.1 Prohibited Content

You may not upload or generate User Content that:

  • Promotes hate, violence, harassment, or discrimination
  • Contains explicit sexual content or promotes sexual services
  • Celebrates suffering, humiliation, or self-harm
  • Attempts to generate malicious software or spam
  • Encourages harmful behaviors (eating disorders, suicide, etc.)
  • Makes false, misleading, or fraudulent statements
  • Violates any applicable laws or regulations

6.2 Prohibited Activities

You may not use the App to:

  • Defame, harass, or harm others
  • Infringe on intellectual property rights
  • Violate territorial restrictions
  • Promote or assist unlawful activities
  • Attempt to gain unauthorized access to systems

The App requires an active internet connection (Wi-Fi or mobile data). We are not responsible for connectivity issues or data charges from your mobile provider.

We may update the App to improve functionality or security. You agree to accept updates when offered. We may discontinue the App at any time without notice.

We reserve the right to modify or discontinue features, pricing, or the entire Service at any time.

9. Premium Access and Payment

Payment is processed through third-party payment processors. You are responsible for all applicable taxes and fees.

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Third-Party Content

We do not control third-party content or services and are not responsible for their accuracy, reliability, or availability.

10.3 Experimental Technology

AI services may constitute experimental technology and may occasionally provide inaccurate or inappropriate content.

11. Limitation of Liability

11.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR USE.

11.2 Maximum Liability

Our total liability shall not exceed the amount you paid for Premium Access in the 12 months preceding the claim.

11.3 Exclusions

These limitations do not apply to liability that cannot be excluded by law.

You agree to indemnify and hold harmless Agile Apps LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your User Content
  • Your violation of any third-party rights

13. Termination

13.1 Termination by You

You may stop using the App at any time by deleting it from your device.

13.2 Termination by Us

We may terminate or suspend your access to the App at any time for violation of these Terms or for any other reason.

13.3 Effect of Termination

Upon termination, your license to use the App ends, and you must delete the App from your device.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the jurisdiction where Agile Apps LLC is incorporated, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

We may update these Terms at any time. We will notify you of material changes by posting the updated Terms in the App or on our website.

15.2 Continued Use

Your continued use of the App after changes become effective constitutes acceptance of the new Terms.

16. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16.2 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

16.3 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the App.

16.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
